2. Description of the Service

M-Classboard is a multi-tenant school, college, and institute management software-as-a-service (SaaS) platform providing academic and administrative modules, including student information systems, teacher portals, attendance management, examination & grading workflows, class timetables, fee tracking, assignment management, and institutional analytics.

3. Account Registration & Institutional Responsibilities

• Authority: The individual registering an educational workspace represents and warrants that they possess lawful authority to bind the institution to these Terms.
• Credential Confidentiality: You are strictly responsible for maintaining the confidentiality of administrative, teacher, and student account login credentials.
• Data Accuracy: You agree to provide true, accurate, and complete information during registration and keep your institutional billing profile up to date.
• Security Notification: You must promptly notify M-Prime Group at m-classboard@m-pg.in upon discovering any unauthorized access, security compromise, or credential breach.

4. Subscriptions, Billing & Tax Invoices

Access to paid tiers of M-Classboard is billed in advance on a subscription basis (monthly or annual billing cycles):

• Free Trials: Where a 14-day free trial is activated, no subscription fees apply during the trial window. Upon expiration, access to premium modules requires an active paid plan.
• Payment Processing: All subscription payments are securely processed through Razorpay. We do not store sensitive payment card details or banking passwords on our servers.
• Indian Goods & Services Tax (GST): Subscriptions provided within India are subject to Indian GST under Service Accounting Code (SAC) 998313 (Information Technology Software Services). For customers located in Uttar Pradesh, CGST (9%) and SGST (9%) apply. For customers in other Indian states/UTs, IGST (18%) applies.
• International Customers (Export under LUT): For eligible customers outside India, services are classified as zero-rated export of software services under Letter of Undertaking (LUT), subject to applicable cross-border tax compliance.
• Authoritative Tax Invoices: An official, downloadable tax invoice with sequential numbering and breakdown of base amount and GST is generated immediately upon successful payment verification.
• Renewals & Cancellation: Subscriptions renew at the conclusion of each billing period unless cancelled prior to the renewal date. You may cancel renewal at any time through your Billing Settings.
• Refund Policy: Subscription fees paid for active or past billing cycles are non-refundable, except where required by mandatory consumer protection laws.

5. Acceptable Use & Prohibited Conduct

You agree not to use or facilitate the use of M-Classboard for any of the following:

• Violating any applicable local, state, national, or international law or regulation.
• Uploading or transmitting malware, viruses, worms, trojans, or malicious scripts.
• Attempting unauthorized access, penetrating server security, or performing vulnerability scans without prior written permission.
• Reverse-engineering, decompiling, or disassembling any portion of the M-Classboard software.
• Harvesting, scraping, or extracting platform data using automated spiders, bots, or crawlers.
• Storing or uploading defamatory, obscene, infringing, or harmful content.

6. Content Ownership & Intellectual Property

Tenant Data Ownership: The subscribing institution retains sole ownership, title, and all intellectual property rights in and to all institutional records, student files, grades, and uploaded materials.

Platform Intellectual Property: M-Prime Group retains all right, title, and interest in and to the M-Classboard platform, including all source code, algorithms, visual designs, database architectures, trademarks, logos, and documentation.

7. Service Availability, Maintenance & Disclaimers

We endeavor to ensure uninterrupted uptime for M-Classboard. However, the service is provided on an "as is" and "as available" basis. M-Prime Group does not guarantee that access will be entirely error-free, uninterrupted, or immune to third-party outages or network downtime. Routine maintenance will be scheduled during off-peak hours whenever reasonably practicable.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall M-Prime Group, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or academic interruptions. Our aggregate liability arising out of or related to these Terms shall not exceed the total fees actually paid by the tenant to M-Prime Group during the twelve (12) months preceding the claim.

9. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of India. Any legal suit, action, or proceeding shall be instituted exclusively in the competent courts having jurisdiction in Gonda, Uttar Pradesh, India.
